Terms & Conditions

Last updated: 25/10/2026

1. Agreement to Terms

By accessing and using this website and the People Orbit platform ("the Service"), you accept and agree to be bound by these Terms & Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("Customer", "you", or "your") and Launch IT Solutions Ltd (trading as People Orbit) ("we", "us", or "our"). If you do not agree, please do not use the Service.

2. Description of Service

People Orbit is a Software-as-a-Service (SaaS) HR and People & Culture management platform provided on a subscription basis. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal business purposes during the subscription term.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates applicable UK or international law or regulation
  • Transmit any unsolicited or unauthorised advertising or promotional material
  • Upload, transmit, or distribute any viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to any part of the Service or its related systems
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code
  • Upload or process personal data that is unlawful, unrelated to legitimate HR management purposes, or otherwise inappropriate for storage within the Service.
  • Sublicense, resell, or otherwise make the Service available to third parties without our written consent
  • Use the Service in a manner that could disable, overburden, or impair its infrastructure

We reserve the right to investigate suspected violations of these acceptable use provisions and to take any action we deem appropriate, including suspension of access.

4. Service Availability & Uptime

We aim to provide a reliable and available Service, but we do not guarantee uninterrupted or error-free access. In particular:

  • The Service is provided on an "as is" and "as available" basis without any warranty of continuous availability
  • We do not commit to any specific uptime service level unless separately agreed in writing
  • Scheduled maintenance, emergency fixes, or circumstances beyond our reasonable control (including third-party infrastructure failures, internet outages, or force majeure events) may cause temporary unavailability
  • We will use reasonable endeavours to notify you in advance of planned maintenance where practicable

You acknowledge that temporary unavailability of the Service does not constitute a breach of these Terms and does not entitle you to any refund or compensation unless otherwise agreed in writing.

5. Limitation of Liability

To the fullest extent permitted by applicable law:

  • No indirect losses: Launch IT Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, or business interruption, however caused and under any theory of liability.
  • Cap on liability: Our total aggregate liability to you arising out of or in connection with these Terms or the Service (whether in contract, tort, negligence, or otherwise) shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
  • "As is" service: The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Data accuracy: We are not responsible for the accuracy, completeness, or legality of data you upload to or process through the Service. You retain full responsibility for the data you input.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

6. Subscription, Payment & Fees

Access to the Service is subject to payment of the applicable subscription fees as set out on our pricing page or as otherwise agreed. Fees are payable monthly in advance. We reserve the right to suspend access to the Service if payment is overdue by more than 14 days after written notice. Prices may be updated with at least 30 days' notice.

7. Termination

By you: You may cancel your subscription at any time by providing written notice to us. Cancellation takes effect at the end of your current billing period. No refunds are provided for any unused portion of a billing period.

By us: We may terminate or suspend your access to the Service immediately and without liability to you if:

  • You materially breach these Terms and (where the breach is capable of remedy) fail to remedy it within 14 days of written notice
  • You fail to pay any fees when due and do not remedy this within 14 days of written notice
  • You breach the Acceptable Use provisions in clause 3
  • We are required to do so by law or a regulatory authority
  • You become insolvent, enter administration, or a winding-up order is made against you

Effect of termination: Upon termination for any reason, your right to access the Service ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After this period, your data may be permanently deleted. Customers may request a reasonable export of their data in a commonly used electronic format during the 30-day data retention period.

8. Data Protection

Each party shall comply with its respective obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. You act as the data controller in respect of your employees' personal data processed through the Service; we act as the data processor. Our use of your data is governed by our Privacy Policy, which forms part of these Terms.

9. Data Hosting & Infrastructure

The People Orbit platform is hosted using trusted third-party infrastructure providers that implement industry-standard security and data protection controls. By using the Service, you acknowledge that Launch IT Solutions Ltd may use third-party hosting, storage, and infrastructure providers to operate and maintain the platform. We take reasonable steps to ensure such providers implement appropriate technical and organisational security measures to protect customer data.

Data may be processed and stored on cloud infrastructure operated by Wix.com Ltd and its sub-processors, including servers located in the United States. Where data is transferred outside the United Kingdom or the European Economic Area, appropriate safeguards are in place to ensure compliance with the UK GDPR and the Data Protection Act 2018, including the use of Standard Contractual Clauses (SCCs) or equivalent transfer mechanisms approved by the Information Commissioner's Office (ICO).

10. Data Backup & Customer Responsibility

While we implement reasonable safeguards to protect customer data, the Service is not intended to be used as the sole repository of critical records. Customers remain responsible for maintaining appropriate copies or backups of important data where required. Launch IT Solutions Ltd shall not be liable for any loss of data except where required by applicable law.

11. Account Security

Customers are responsible for maintaining the confidentiality of their login credentials and for all activities carried out under their account. Customers must ensure that only authorised personnel access the Service. Launch IT Solutions Ltd shall not be liable for any loss or damage arising from unauthorised use of login credentials.

12. Service Improvements

We may update, improve, modify, or discontinue features of the Service from time to time in order to maintain or improve functionality, security, or performance. Where reasonably practicable we will provide notice of significant changes via the platform or email.

13. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, and documentation, remain the exclusive property of Launch IT Solutions Ltd. You retain ownership of all data you upload to the Service. You grant us a limited licence to process your data solely to provide the Service.

14. Modifications to Terms

We may update these Terms from time to time. Where changes are material, we will provide at least 30 days' notice by email or via the platform. Continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We will always attempt to resolve disputes amicably before resorting to formal legal proceedings.
